These Terms of Service form a binding agreement between you and Gbajọ Co-operative Technologies Ltd. By using our platform, you're agreeing to these terms — so we've written them in plain language wherever the law allows.

By using Gbajọ

You confirm that you've read these terms, that you agree to be bound by them, and that you're authorised to enter into this agreement on behalf of yourself (and any co-operative you administer). If you don't agree, please don't use the service.

01 — Definitions

Definitions.

To keep things precise, a few terms have specific meanings throughout this agreement.

Gbajọ, we, us Gbajọ Co-operative Technologies Ltd., a company registered in Nigeria (RC 2154892).
User, you Any individual who creates an account or otherwise uses the platform.
Circle A registered co-operative or other collective formed by members on the platform.
Pool A specific fund created within a Circle for savings, investment, or lending.
Contribution Any payment made by a member into a Pool.
Platform The Gbajọ website, mobile apps, APIs, and related services.
02 — Eligibility

Who can use Gbajọ.

To use the platform, you must:

  • Be at least 18 years old and legally able to enter binding contracts where you live.
  • Not be barred from using financial services under the laws of your jurisdiction.
  • Not be on any sanctions list, including those maintained by the United Nations, the European Union, or the Office of Foreign Assets Control.
  • Provide accurate and complete information when creating your account, and keep it current.
  • Complete identity verification (KYC) as required by applicable financial regulations.

We may refuse service, restrict features, or close accounts that don't meet these requirements.

03 — Account

Your account.

Creating an account

You're responsible for everything that happens on your account. Use a strong password, keep your credentials confidential, and don't share your account with anyone else.

Keeping it secure

If you suspect unauthorised access, notify us immediately at [email protected]. We strongly recommend enabling two-factor authentication.

One person, one account

Each person may hold only one personal account. Co-operatives and institutions may register separate organisational accounts under additional terms.

04 — Circles

Circles & pools.

You set the rules

Gbajọ provides infrastructure. The members of each Circle decide its contribution schedule, payout rules, governance, and investment policy. We do not direct or control the decisions of any Circle.

Your role within a Circle

  • Administrators set up Circles, define rules, invite members, and manage day-to-day operations.
  • Members contribute, vote, and receive payouts according to the rules they've all agreed to.
  • Both roles carry responsibilities — administrators must act in the Circle's collective interest, and members must contribute in good faith.

Investment pools

Where Circles use Pools to invest collectively, members make their own investment decisions. Gbajọ does not provide investment advice, recommendations, or guarantees of return.

Important

Investments carry risk. The value of a Pool may go up or down. Past performance does not predict future results. Never contribute money you cannot afford to lose.

05 — Money

Money & payments.

Holding of funds

Funds contributed to a Pool are held in segregated accounts with licensed financial institutions in your region. They are not Gbajọ's funds — they belong to the members of the Circle, and we hold them in trust.

Transactions

You authorise us to process the payments you initiate (contributions, payouts, transfers, withdrawals) through our payment partners. Standard banking timelines apply: most transactions settle within 1–3 business days.

Failed contributions

If a contribution fails (insufficient funds, expired card, etc.), the rules of your Circle determine what happens next — Gbajọ will retry per the schedule your Circle has set, but we are not responsible for the consequences of a member's failure to contribute.

Currency & conversion

Pools operate in the local currency of the host region. Cross-border transactions use mid-market exchange rates with transparent disclosure of any conversion fees.

06 — Fees

Fees & pricing.

Gbajọ charges fees as published on our pricing page. By using the platform, you agree to these fees as they apply to your usage.

  • Platform fees — a small percentage of contributions or a flat monthly subscription depending on the plan your Circle chooses.
  • Payment processing fees — passed through at cost from our payment partners, fully disclosed at checkout.
  • Currency conversion — a transparent margin on cross-border transactions.

We may change our fees with at least 30 days' notice. Circles may opt out by closing their account before the new fees take effect.

07 — Conduct

Acceptable use.

Gbajọ exists to help communities build wealth together. The following are not allowed:

  • Illegal activity — using the platform for money laundering, terrorist financing, fraud, or any other unlawful purpose.
  • Misrepresentation — impersonating another person, providing false identity information, or operating undisclosed accounts.
  • Manipulation — exploiting bugs, abusing referral systems, or attempting to manipulate the platform for unfair advantage.
  • Harassment — threatening, harassing, or intimidating other members within Circle chats or comments.
  • Unauthorised access — attempting to access accounts, data, or systems you are not authorised to access.
  • Reverse engineering — decompiling, scraping, or otherwise interfering with the platform's technical operation.
  • Reselling access — providing the service to third parties for compensation without explicit written authorisation.

Violations may result in suspension, termination, or referral to authorities.

08 — IP

Intellectual property.

Our IP

The Gbajọ name, logo, website, software, content, and design are owned by us or our licensors. You may not copy, modify, distribute, sell, or create derivative works without our written permission.

Your content

You retain ownership of any content you submit (messages, documents, descriptions). By submitting content, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, and process that content for the purpose of operating the service.

Feedback

If you send us suggestions, ideas, or feedback, we may use them without obligation to you, but we'll never use your personal data without consent as set out in our Privacy Policy.

09 — Disclaimers

Disclaimers.

We work hard to keep Gbajọ reliable, secure, and useful — but we make no specific guarantees about uptime, accuracy, or fitness for any particular purpose.

Specifically:

  • We do not guarantee any particular financial return on any Pool or investment.
  • We do not guarantee that the platform will be uninterrupted, error-free, or secure from all attacks.
  • We are not responsible for the actions or decisions of individual Circle members.
  • We are not a bank, an investment adviser, or a fiduciary, and nothing on the platform constitutes financial advice.
10 — Liability

Limitation of liability.

For any direct damages, our total liability to you in any 12-month period will not exceed the greater of (a) the total fees you paid to Gbajọ during that period, or (b) ₦50,000 (or its equivalent in your local currency).

Some jurisdictions don't allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages — in those places, our liability is limited to the smallest amount permitted by law.

11 — Indemnity

Indemnification.

You agree to defend, indemnify, and hold harmless Gbajọ and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the platform.
  • Your violation of these terms.
  • Your violation of any third-party rights.
  • Disputes between you and another member of a Circle.

We reserve the right to assume exclusive control of any matter for which you are required to indemnify us, in which case you agree to cooperate.

12 — Termination

Termination.

By you

You may close your account at any time from your settings, subject to settling any outstanding contributions or obligations to your Circles. We'll help you exit cleanly — including transferring administrator roles and withdrawing your share of any Pool you participate in.

By us

We may suspend or terminate your account if you breach these terms, if required by law, or if we reasonably believe your continued use poses a risk to the platform or other members. We'll give you notice and a chance to remedy where possible.

What survives

The sections on Intellectual Property, Disclaimers, Liability, Indemnity, Disputes, and Governing Law survive any termination of this agreement.

13 — Disputes

Disputes & arbitration.

Talk to us first

If you have a complaint, please contact us at [email protected]. Most disputes can be resolved without formal proceedings, and we commit to working with you in good faith for at least 60 days.

Arbitration

If we can't resolve a dispute informally, the parties agree to resolve it through binding arbitration administered under the rules of the Lagos Court of Arbitration. The arbitration shall be conducted in English, in Lagos, Nigeria, by a single arbitrator.

Class action waiver

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement, and you may pursue claims in small claims court where eligible.

14 — Governing law

Governing law.

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles. For users outside Nigeria, additional local consumer protection laws may apply and are not displaced by this agreement.

15 — Changes

Changes to these terms.

We may update these terms from time to time. For material changes, we'll give you at least 30 days' notice by email and through the app. Continued use after the effective date constitutes acceptance.

If you don't agree to a change, you can close your account before the change takes effect and we'll help you wind down your Circle participation.

16 — General

General provisions.

  • Entire agreement. These terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Gbajọ.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce a right is not a waiver of that right.
  • Assignment. You may not assign your rights under this agreement without our written consent. We may assign ours in connection with a merger, acquisition, or reorganisation.
  • Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control — natural disasters, war, government action, or major infrastructure failures.
  • Notices. We may send you notices by email or through the app. You can send us notices at [email protected].
